ESG & Transformation Strategy

The ESG and transformation strategy — youth skills development and women in automotive, waste management and energy efficiency, and governance and B-BBEE.

Environmental, social and governance considerations are integral to
Velocity’s strategy and to its attractiveness to institutional
investors, lenders and insurer partners with their own ESG mandates. The
Company’s ESG approach is also commercially aligned: skills development
addresses the binding industry constraint, and energy efficiency reduces
operating cost.

12.1 Social: Youth Skills Development

Automotive apprenticeship programmes targeting unemployed youth,
directly addressing South Africa’s youth-unemployment crisis while
building the group’s skilled-technician pipeline.

12.2 Social: Women in Automotive

Deliberate female-technician development initiatives to broaden
participation in a historically male-dominated trade and strengthen the
group’s transformation credentials.

12.3 Environmental: Waste Management

Environmentally compliant paint, solvent and hazardous-waste disposal
systems exceeding regulatory minimums, supported by water-based paint
technology where feasible.

12.4 Environmental: Energy Efficiency

Solar-assisted workshop infrastructure to reduce grid dependence
(important given South African electricity-supply constraints), lower
operating cost and reduce carbon intensity. Spray booths and compressors
are significant energy consumers, making efficiency investment
financially as well as environmentally rational.

12.5 Governance & B-BBEE

Velocity will implement robust corporate governance — an
independent-majority board, audit and risk committees, transparent
reporting — and pursue a strong Broad-Based Black Economic Empowerment
profile, which is both a regulatory expectation and a commercial
advantage in winning fleet and insurer contracts.

ESG as commercial strategy

Velocity’s ESG initiatives are not peripheral. Skills development
resolves the industry’s binding constraint; energy efficiency cuts cost
in a power-constrained economy; transformation credentials win
contracts; and strong governance lowers the cost of capital. ESG and
shareholder value are aligned, not in tension.
