Sustainability, ESG & Community Impact

The sustainability and ESG framework, regenerative grazing and environmental stewardship, the social and community impact, B-BBEE and the governance approach.

11.1 ESG Framework

Karoo Crown’s ESG framework is built around six measurable focus
areas, each with annual public targets, board-level oversight and
independent third-party assurance from Year 2 onwards. The framework
aligns with the Sustainability Accounting Standards Board (SASB) Meat,
Poultry & Dairy standard, the Task Force on Climate-related
Financial Disclosures (TCFD) and the UN Sustainable Development Goals
(specifically SDGs 1, 2, 6, 8, 12, 13 and 15).

11.2 Environmental Commitments

  • Carbon: Targeted 25% reduction in Scope 1 + 2 emissions intensity
    per kg by Year 5, supported by on-site solar generation, methane capture
    at the effluent plant, and a feedlot diet additive programme.
  • Water: Targeted 30% reduction in water withdrawal intensity, with
    all process effluent treated and re-used on-site for
    irrigation.
  • Waste: Zero-waste-to-landfill target from Year 3
    onwards.
  • Biodiversity: Producer extension programmes encouraging
    regenerative grazing and biodiversity stewardship on Karoo and grassland
    rangelands.

11.3 Social Commitments

  • Employment: A minimum of 60% of production headcount drawn from
    the immediate operating area (within 50 km of the plant).
  • Skills development: 3.5% of payroll committed to skills
    development, exceeding the SETA 1% statutory minimum.
  • Emerging-farmer support: A formal Emerging Farmer Development
    Programme providing veterinary support, training, market access and
    pre-financing to 3,800 emerging farmers.
  • Animal welfare: RSPCA-equivalent welfare standards, transparent
    on-site auditing, third-party certification.
  • Community engagement: Annual community development spend of 1% of
    net profit, focused on local schools, primary health and water
    infrastructure.

11.4 Governance Commitments

  • Independent board majority within 24 months of financial
    close.
  • Annual ESG report published from Year 2.
  • Third-party assurance of GHG and water reporting from Year
    2.
  • Whistle-blower facility independently administered.
  • Anti-corruption policy aligned with the UK Bribery Act and the
    South African PRECCA framework.

11.5 Producer Equity Programme

A defining ESG feature of Karoo Crown is the producer co-operative
equity programme. A defined tranche of the Group’s equity (initially ZAR
95 million, equivalent to approximately 11% of pre-money value) is held
by a Producer Co-operative Trust whose membership is open to commercial
and emerging cattle suppliers meeting defined volume and quality
standards. Distributions from this tranche flow back to producers in
proportion to volume supplied, creating direct value-chain ownership and
aligning long-term producer incentives with Karoo Crown’s commercial
success. The programme is modelled on the Savanna Beef Namibia producer
participation architecture, scaled and adapted to the South African
legal and co-operative environment.
