Management & Organisation
The leadership philosophy, the key executive functions, the organisational design and the advisory and strategic partners supporting the bank.
10.1 Leadership Philosophy
OptimaBank’s execution depends on assembling a leadership team that
pairs deep, prudentially-tested banking experience with proven
technology and growth capability. The founding team profile blends
executives who have built and run regulated banking businesses in South
Africa with leaders drawn from high-growth digital banking and fintech.
This combination is deliberate: prudential credibility is indispensable
for licensing and risk management, while technology and growth
leadership are indispensable for delivering the cost and experience
advantage at the heart of the thesis.
10.2 Key Executive Functions
The executive committee comprises the following core functions, each
to be filled by a seasoned leader with directly relevant sector
experience:
| Role | Mandate |
|---|---|
| Chief Executive Officer | Overall strategy, regulator and investor relations, culture |
| Chief Financial Officer | Capital, financial planning, treasury, investor reporting |
| Chief Risk Officer | Enterprise, credit, market and operational risk |
| Chief Technology Officer | Core platform, engineering, cloud and data architecture |
| Chief Operating Officer | Operations, service, process automation |
| Chief Commercial Officer | Retail, SME and customer growth |
| Head of Corporate & Investment Banking | Corporate, trade and markets franchise |
| Chief Compliance Officer | AML/CFT, conduct, FICA/POPIA, regulatory liaison |
| Chief People Officer | Talent, culture, transformation |
10.3 Organisational Design
The organisation is structured to maximise accountability and
minimise hierarchy. Customer-facing business lines (Retail, SME, CIB and
Insurance & Wealth) operate with clear profit-and-loss ownership,
supported by shared platforms in technology, risk, finance and
operations. This design preserves the agility of a digital business
while embedding the control environment expected of a regulated bank. As
set out in Section 11, the projected Year-5 workforce is intentionally
lean relative to incumbents of comparable balance-sheet size, with the
largest concentrations in technology and customer-facing functions.
10.4 Advisory & Strategic Partners
The Company will be supported by a panel of strategic and advisory
partners spanning core-banking technology, cloud infrastructure,
payments, and trade-finance correspondent relationships, together with
strategic banking partners who participate in the capital structure.
These relationships accelerate time-to-market, de-risk delivery and
provide credibility with regulators and counterparties.
