The company’s vision, mission and values, legal structure and ownership, strategic objectives and the key milestones underpinning PrintCore Solutions.

2.1 Corporate Identity

PrintCore Solutions (Pty) Ltd will be incorporated as a private
limited liability company under the South African Companies Act (Act 71
of 2008). The Company will be wholly South African owned at
incorporation, with provisions in the Memorandum of Incorporation for
both founder and external investor share classes. PrintCore will pursue
Broad-Based Black Economic Empowerment (B-BBEE) Level 4 status at
launch, with a planned trajectory to Level 2 within 36 months through a
combination of equity participation, supplier development, and skills
training initiatives.

2.3 Strategic Objectives

The Company has set the following strategic objectives over the
planning horizon:

  1. Establish a fully operational production facility in Pretoria
    within 12 months of capital close.
  2. Achieve cumulative revenue of ZAR 22 million in Year 1, scaling
    to ZAR 65 million by Year 3 and ZAR 97.5 million by Year 5.
  3. Reach EBITDA margins of 23% by Year 3, in line with the upper
    quartile of South African commercial print operators.
  4. Build a portfolio of 12 anchor B2B contracts with average annual
    values exceeding ZAR 2 million within 24 months of launch.
  5. Achieve ISO 9001:2015 quality certification within 18 months and
    FSC chain-of-custody certification within 24 months.
  6. Enter at least two SADC export markets (Botswana and Namibia) by
    end of Year 3.
  7. Maintain a customer-retention rate above 85% from Year 2
    onwards.

2.4 Stage of Development

PrintCore is currently in the pre-launch capital-raising stage.
Founders have completed feasibility analysis, preliminary equipment
vendor engagement (with non-binding pricing letters from Heidelberg
South Africa and Komori Africa), and initial site evaluation across
three industrial nodes in greater Pretoria. The site shortlist comprises
three locations of which one is preferred subject to lease finalisation.
Founders have personally committed ZAR 3.0 million in equity and
bridging working capital to fund pre-launch activities. The current
capital raise will release the production-readiness phase of the
implementation roadmap.
