Risk Analysis & Mitigation

A structured risk register and the mitigation measures covering market, operational, financial, technology and regulatory risks.

PrintCore’s management has identified, classified, and developed
mitigation strategies for the principal risks facing the business. Each
risk is rated for likelihood (low / medium / high) and impact (low /
medium / high), and assigned ownership. The risk register below is a
living document and will be reviewed by the board at each scheduled
meeting.

14.1 Strategic & Market Risks

Risk Lik. Imp. Mitigation
Continued decline of traditional print M M Deliberate avoidance of publishing print; growth-segment focus (packaging, large-format, MPS)
Loss of anchor client M H Multi-year contracts; account diversification (no client >15% of revenue); dedicated account managers; quarterly reviews
New low-cost competitor entry L M Capital intensity is itself a barrier; PrintCore’s contracted-revenue base is sticky
Substrate price inflation M M Price-escalation clauses in contracts; dual sourcing; 60-day inventory buffer
Customer credit risk M M Credit checks on all new accounts; credit insurance for top-20 receivables; tight DSO management

14.2 Operational Risks

Risk Lik. Imp. Mitigation
Equipment breakdown M H Manufacturer service contracts; on-site spare parts inventory; trained internal technicians
Skilled labour shortages H M In-house apprenticeship programme via merSETA; competitive remuneration; structured career paths
Energy supply disruption (load-shedding) H M 250 kWp solar PV + battery + diesel backup; able to operate single shift without grid
Quality failure on critical job L H ISO 9001 quality system; multi-stage QC gates; client digital proofing; press-side proofing; insurance
Cybersecurity incident / data breach M H ISO 27001 alignment; next-gen firewall; EDR; security awareness training; cyber insurance
Health and safety incident L H Occupational HS Act compliance; trained safety officer; regular drills; comprehensive insurance

14.3 Financial Risks

Risk Lik. Imp. Mitigation
FX exposure on imported inputs H M Forward contracts on 60% of 12-month consumable forecast; price-pass-through clauses where feasible
Interest rate increases M M Mix of fixed and floating rate debt; conservative gearing; cash-flow buffer
Working capital strain on rapid growth M M Revolving credit facility (R 5M); supplier credit; conservative inventory policy
Capex overrun L M Detailed bills of quantities; vendor fixed-price contracts; 8% contingency reserve
Tax / regulatory compliance failure L H Outsourced compliance partner Years 1–2; in-house compliance officer Year 3+; tax counsel on retainer

14.4 Macro & External Risks

Risk Lik. Imp. Mitigation
South African macroeconomic deterioration M M Diversified customer base across sectors; SADC export expansion; defensive packaging segment
Currency volatility (ZAR weakness) H M Hedging programme; gradual local-currency input migration; export earnings (USD/BWP) as natural hedge
Regulatory change (EPR, environmental, B-BBEE) M M Active industry association membership; monitoring of policy developments; design-for-recyclability strategy
Pandemic / global supply disruption L H Multi-supplier strategy; longer inventory buffers for critical inputs; flexible workforce arrangements

14.5 Risk Governance

The board’s Audit & Risk Committee (ARC) will receive a quarterly
risk dashboard from management, including movements on the risk
register, status of mitigation actions, and emerging risks. The ARC will
report to the full board at each meeting. Annual external risk review is
contemplated from Year 3 once the business has achieved scale.
