2.1 Legal Structure and Registration
SparkleClean SA will be registered as a Private Company — (Pty) Ltd — under the Companies Act 71 of 2008 in South Africa. The company will be registered with the Companies and Intellectual Property Commission (CIPC) and will obtain all necessary registrations including a tax clearance certificate from the South African Revenue Service (SARS), registration for Value Added Tax (VAT) once turnover exceeds R1,000,000, and registration with the Unemployment Insurance Fund (UIF) and the Compensation Fund for employee protection.
2.2 Ownership Structure
The founding team consists of two directors who bring complementary skills in operations management and digital marketing. The ownership split at founding will be 60/40, with provisions for an employee share ownership programme (ESOP) pool of 10% to be allocated within the first three years to incentivise key staff and support Broad-Based Black Economic Empowerment (B-BBEE) objectives.

2.3 B-BBEE Strategy

The company’s B-BBEE strategy includes maintaining majority Black ownership (Level 1–2 contributor target), prioritising procurement from B-BBEE compliant suppliers, investing in skills development for cleaning staff through accredited training programmes, and participating in enterprise development through partnerships with emerging small cleaning businesses in underserved communities.
2.4 Location and Facilities
The company headquarters will be located in a shared office space in Sandton, Gauteng, chosen for its central location within the primary target market and proximity to major transport routes. The initial facility requirements are modest: a small office for administrative functions, a secure storage area for cleaning equipment and supplies, and parking for company vehicles. As the business scales, the company will consider leasing a dedicated 150–200 m² premises in a light-industrial area near Sandton or Midrand to accommodate expanded equipment storage, staff training facilities, and fleet parking.
