2.1 Mission, Vision & Values
Mission
To deliver accessible, world-class eye-care to South Africans through
an integrated clinical model that combines advanced diagnostics, skilled
ophthalmology and optometry, and ethical patient-centred retailing — at
prices that responsibly expand access to quality vision care while
generating sustainable returns for investors.
Vision
To become South Africa’s leading independent mid-market eye-care
brand within seven years, with a network of at least four fully
integrated clinics serving major metropolitan areas, recognised for
clinical excellence, patient experience, and measurable population-level
impact on preventable blindness.

to standards defined by the Health Professions Council of South Africa,
the Ophthalmic Society of South Africa, and international best

2.2 Legal Structure & Regulatory Registration
VisionCare Eye Clinic will be incorporated as a private company (Pty)
Ltd under the South African Companies Act, 2008 (Act No. 71 of 2008),
with the Companies and Intellectual Property Commission (CIPC). The
shareholding structure at launch will comprise the founding promoters
(54%) and external equity investors (46%), with a Shareholders’
Agreement providing standard protective provisions, tag-along and
drag-along rights, reserved matters, and pre-emptive rights on future
share issuances.

2.3 Service Portfolio Overview
VisionCare’s service architecture is structured in two sequenced
phases. Phase 1 (Months 0–18) establishes comprehensive optometric and
diagnostic capacity together with a fully commercial optical retail
unit. Phase 2 (Months 18–30) adds ophthalmologist-led medical services
and day-case surgery, unlocking the largest revenue pool per patient
encounter.
Phase 1 Services (from Month 9 commercial launch)
- Comprehensive eye examinations — visual acuity,
refraction, binocular-vision assessment, colour-vision testing,
intraocular-pressure measurement (non-contact tonometry), slit-lamp
biomicroscopy, and dilated fundus examination. - Paediatric optometry — age-appropriate vision
screening for infants, pre-schoolers, and school-aged children,
including amblyopia and strabismus assessment and myopia-management
programmes. - Advanced diagnostics — Optical Coherence
Tomography (OCT) of the macula, optic nerve, and anterior segment;
automated visual-field perimetry (Humphrey/Octopus equivalent); corneal
topography and pachymetry; non-mydriatic fundus photography with
AI-assisted diabetic-retinopathy screening. - Contact lens clinic — fitting and dispensing of
soft, rigid gas-permeable, scleral, and orthokeratology lenses. - Optical retail — a curated range of frames
across entry, mid-market, and premium price points; single-vision,
bifocal, progressive, and speciality lenses with brand partnerships
(Essilor, Zeiss, Hoya). - Corporate vision screening — on-site employee
screening days, occupational-vision certifications (e.g. driver
screenings per the National Road Traffic Act), and bulk dispensing for
corporate clients.
Phase 2 Services (from Month 24)
- Ophthalmology consultations — medical and
surgical eye care under the supervision of an OSSA-member
ophthalmologist. - Cataract surgery — phacoemulsification with
intraocular lens (IOL) implantation, performed in a dedicated day-case
theatre. - YAG & argon laser procedures — YAG
capsulotomy, selective laser trabeculoplasty (SLT), and panretinal
photocoagulation. - Anti-VEGF intravitreal injections — treatment of
wet age-related macular degeneration, diabetic macular oedema, and
retinal vein occlusion. - Minor oculoplastic procedures — chalazion
excision, entropion/ectropion repair, and eyelid-lesion
excision.
