Organisation & Management Team

The organisational structure and the management team leading VisionCare’s clinical, commercial and operational functions.

VisionCare’s organisational design balances clinical governance,
commercial effectiveness, and financial discipline. The structure is
deliberately lean at launch — with certain specialist functions
(surgical ophthalmology, legal counsel, external audit) engaged on a
contracted or advisory basis — scaling to a fully integrated team as
service lines mature.

7.1 Governance & Board Structure

A five-member Board of Directors governs the Company, comprising:

  • The Managing Director / CEO (executive, promoter);
  • The Chief Medical Officer (executive, ophthalmologist);
  • An Investor Representative nominated by the institutional equity
    holder;
  • An Independent Non-Executive Director with healthcare-sector
    experience;
  • An Independent Non-Executive Director with financial / audit
    experience who will chair the Audit & Risk Committee.

The Board meets quarterly, with monthly management accounts
circulated in the interim. Reserved matters requiring Board approval
include: capital expenditures above R500,000; executive appointments;
related-party transactions; adoption of the annual budget; and any
change in dividend policy. An Audit & Risk Committee and a
Remuneration & Nominations Committee operate as sub-committees of
the Board.

7.2 Key Management Profiles

Managing Director / CEO

The founding promoter, with 15+ years of healthcare sector experience
spanning clinical practice management, corporate healthcare strategy,
and private-equity-backed healthcare operating roles. Holds an MBBCh
with postgraduate qualifications in healthcare management. Track record
includes the turnaround of a multi-disciplinary clinic group and
successful commissioning of two greenfield private healthcare
facilities.

Chief Medical Officer / Lead Ophthalmologist

A HPCSA-registered ophthalmologist and Fellow of the College of
Ophthalmologists of South Africa (FCOphth SA), with subspecialty
fellowship training in cataract and refractive surgery. 12+ years of
private-sector surgical experience, with published audit of cataract
surgical outcomes matching international benchmarks. Member of the
Ophthalmic Society of South Africa (OSSA).

Head of Optometry

A HPCSA-registered optometrist with a Master of Optometry, certified
in ocular diagnostic and therapeutic use of drugs. Specific expertise in
contact lens fitting, paediatric optometry, and low-vision
rehabilitation. Will be responsible for day-to-day clinical operations,
staff development, and optometric quality assurance.

Finance Manager / CFO

A Chartered Accountant (CA(SA)) with 8+ years of post-articles
experience including a healthcare specialty practice role. Responsible
for financial planning, management reporting, scheme-claim
reconciliation, statutory compliance, and treasury management. Reports
directly to the CEO with a dotted line to the Audit & Risk
Committee.

Operations Manager

An experienced healthcare operations professional with background in
multi-site private practice management. Responsible for procurement,
facility management, staff rostering, patient experience metrics, and
vendor relationship management. Bachelor of Commerce degree with
additional healthcare management certification.

Compensation is structured in three layers: (i) market-benchmarked
base salary set at median for equivalent South African healthcare roles;
(ii) individual performance bonus of 10–20% of base, linked to
documented KPIs; (iii) for senior management, a long-term incentive plan
comprising either share options (under an Employee Share Ownership Plan)
or phantom-share equivalents, vesting over four years to align
management with equity-investor outcomes.
