2.4 Legal Structure & Governance
Kalahari Crown Exports will be incorporated as a private company (Pty
Ltd) under the South African Companies Act, 2008. The Company will adopt
a governance framework aligned with the King IV Code on Corporate
Governance, comprising a board with independent non-executive directors,
and audit-and-risk, social-and-ethics, and investment committees. A
broad-based black economic empowerment (B-BBEE) ownership structure,
including a worker share-ownership scheme, will be embedded from
inception to support transformation objectives and procurement
competitiveness.
