2.1 Legal Structure & Governance

Renacare Dialysis Clinic (Pty) Ltd will be incorporated as a private
company limited by shares under the Companies Act 71 of 2008 of the
Republic of South Africa. The Company will be a for-profit healthcare
entity with its registered office and primary clinical operations
located in Gauteng Province. Registration will include tax registration
with the South African Revenue Service (SARS), UIF and COIDA
registration, and enrolment as an employer with the Department of
Employment and Labour.

The Company will maintain a formal Board of Directors comprising
executive and non-executive members with collective expertise spanning
clinical nephrology, healthcare finance, medical-aid regulation, and
operations. A Clinical Advisory Panel chaired by the Medical Director
will provide independent oversight of clinical protocols, audit of
outcomes, and guidance on scientific and ethical matters. An Audit and
Risk Committee and a Remuneration Committee will operate as
sub-committees of the Board.

Vision To be the most trusted specialist renal care provider in Southern Africa, recognised for clinical excellence, patient dignity and equitable access.
Mission To deliver safe, effective and compassionate kidney replacement therapy to patients of all ages and socio-economic backgrounds, through a scalable clinic network that partners with medical aid schemes, hospitals and public-sector institutions to close the dialysis access gap in South Africa.

All ordinary shares rank pari passu with respect to voting and
economic rights. A Shareholders’ Agreement will govern matters reserved
for shareholder approval, pre-emptive rights on issue and transfer,
tag-along and drag-along provisions, and exit mechanics. A Memorandum of
Incorporation aligned with the Companies Act provides the default
governance framework.

2.5 Key Milestones to Date

  • Management team identified and committed to the venture,
    including a practising South African nephrologist as Medical
    Director.
  • Site shortlist completed: three candidate locations in Gauteng
    evaluated against proximity to referring hospitals, population density,
    and medical aid coverage intensity.
  • Preliminary indications of support received from two development
    finance institutions and one commercial bank for the senior debt
    tranche.
  • Non-binding term sheet agreed with equipment vendor (Fresenius)
    for 20-machine lease facility.
  • Preliminary discussions with medical aid administrators regarding
    DSP network inclusion have been initiated.
