The board of directors, the executive management team, the advisory panel and the governance framework guiding the business.
8.1 Board of Directors
The Board of Directors of Renacare Dialysis Clinic (Pty) Ltd will
consist of seven members: the Managing Director and Medical Director
(executive), four non-executive directors drawn from equity investors
and independent healthcare leaders, and one independent chair. The Board
will meet formally no less than quarterly, with additional meetings
convened as required. Sub-committees of the Board include the Audit
& Risk Committee, the Remuneration Committee and the Clinical
Governance Committee.
8.2 Executive Management Team
The executive management team combines deep clinical credentialling,
healthcare-specific operational experience, and financial and
capital-markets expertise. All executive roles will be filled by month 6
of the implementation programme, with the Managing Director and Medical
Director engaged from project inception.

8.3 Advisory Panel
An independent Clinical Advisory Panel will provide the Board and
executive team with independent clinical expertise, audit of protocols
and outcomes, and access to international best practice. The Panel will
comprise three senior South African nephrologists and one international
advisor, appointed for renewable three-year terms and meeting at least
semi-annually.
8.4 Governance Framework
Renacare will comply with the King IV Report on Corporate Governance
in all material respects. Specific governance mechanisms include: a
Memorandum of Incorporation that reserves strategic matters (major
expenditures, new financing, key appointments, related-party
transactions) for shareholder approval; a Shareholders’ Agreement that
provides for pre-emptive rights, tag-along and drag-along rights, and
minority protections; an Ethics and Conduct Policy applicable to
directors, employees and contractors; a whistleblower protection
mechanism operated by an independent service provider; and annual review
of executive remuneration by the Remuneration Committee.
