14.1 Development programme

Phase

Months

Activities

Gate

1. Establish

1 to 7

Register the company; secure the site with water authorisation and three-phase power; qualify two Phase III compost suppliers; design one-directional layout; build first three growing rooms and the packhouse; appoint the technical adviser

Two compost suppliers contracted; first three rooms commissioned

2. First crops

6 to 12

Run first button crops under technical supervision; commission the oyster house; establish cold chain; secure first wholesale and restaurant offtake before volume arrives

First crop harvested; contamination below 20%; offtake agreements signed

3. Learn and add

Year 2

Add the fourth room; drive contamination below 12%; build the oyster chef and specialist retail programme; obtain food safety certification

Positive EBITDA; food safety certification achieved

4. Complete the build

Year 3

Commission the final two rooms; reach 6.4 crops per room; commence principal repayment

Positive net profit; contamination below 9%

5. Optimise

Years 4 to 5

Drive contamination to 6% and crops to 6.7; develop the oyster market ahead of any further oyster capacity; evaluate value-added and dried product lines

Contamination at or below 6%; oyster demand growing ahead of supply

14.2 Critical dependencies

Dependency

What it gates

Why it cannot be accelerated

Site with water authorisation and three-phase power

Everything

A water-intensive agri-processing operation on land that cannot be licensed or supplied is unusable, not cheaper

Two qualified Phase III compost suppliers

Commissioning the first rooms

Compost sets the ceiling on every crop. A farm without qualified supply has climate-controlled buildings and nothing to fill them with

One-directional clean-to-dirty layout

Contamination control for the life of the farm

Designed in at construction. Retrofitting workflow around finished buildings does not work

Growing manager and technical adviser

The first crop

Three of the four production terms run through these appointments, and national training capacity is scarce

Cold chain from harvest

Any sale at all

Five to seven days of shelf life. Field heat not removed quickly costs shelf life at the buyer’s end

Contracted offtake

The fourth room

A crop with no buyer is worthless within days, and the compost bill arrives every eight weeks regardless

Contamination below 12%

The final two rooms

Adding capacity at high contamination multiplies the loss, and rooms seed each other

Two-year capital moratorium

Surviving to Year 3

EBITDA is negative in Year 1 and thin in Year 2. No cover ratio exists before Year 3

14.3 Conditions precedent to drawdown
