Governance framework

A board with independent representation will oversee management, supported by audit-and-risk, and social-and-ethics committees. The framework covers B-BBEE compliance, financial audit, ESG reporting, health-and-safety, procurement and currency-risk policy, and the covenant and reporting obligations attached to the DFI and bank facilities. Robust governance is a financing precondition, and the plan is structured to meet institutional-investor standards from the outset.
