14.1 Phases

Phase

Period

Objectives

Establish

Months 0–12

Three depots operational; robotic fleet commissioned; LumenIQ v1 live; 240 MW contracted; academy first intake

Densify

Years 2–3

Route density in existing clusters; 700 MW; margin to 23%; first utility re-tender wins; C&I channel partnerships signed

Extend

Years 4–5

Two additional depots (De Aar, Gqeberha); 1,250 MW; LumenIQ sold standalone; wind O&M adjacency assessed

Consolidate

Years 6–7

Selective acquisition of regional cleaning contractors; 1,880 MW; SADC entry study (Namibia, Botswana)

14.2 Milestones and capital deployment

Months 0–3

Close funding round; commission Upington and Midrand depots; first 8 robots delivered; academy curriculum accredited; LumenIQ v1 ingestion live

R18.6m

Months 4–6

Worcester depot operational; founding book transitioned; first utility re-tender submitted; 24 technicians in learnership

14.3 The three things that must go right

  • Convert the pipeline. 412 MW weighted against a 450 MW year-two target. Sales execution, not market creation, is the critical path.
  • Hold route density. Margin depends on clustering. Contracts outside a depot cluster must clear a higher price threshold or be declined.
  • Retain technicians. The academy and worker trust exist because attrition, not competition, is the most likely cause of margin failure.

R18.6 million of the R38 million raise, 49%, is committed in the first quarter, before any meaningful contract book has been converted beyond the founding 140 MW. Two depots, eight robots, the academy accreditation and the platform’s first release all fall inside that window. This is defensible for a business that must be operationally credible before it can win utility tenders, and the Plan’s own mitigation is that depot rollout is staged against signed capacity rather than forecast. But it does mean the investor’s capital is substantially at risk before the central assumption, that contracts can be won at 250 to 320 MW a year, has been tested at scale. Investors may wish to negotiate tranching against contracted-capacity milestones rather than funding the full R38 million at close.
