Aidan Mokoena — Founder & CEO (45% equity): Aidan is a hospitality entrepreneur with 12 years of progressive F&B
management experience across Cape Town, Johannesburg, and London. He
previously co-founded Indaba Bistro, a 60-cover concept in the Cape CBD
that was profitably sold in 2022. His commercial acumen, investor
relationships, and brand vision are central to Velvet Fig’s strategic
direction.
Isabella van der Merwe — Chief Operating Officer (25% equity): Isabella brings 10 years of operational and financial
management experience, including 6 years as Regional Operations Manager
at Woolworths Foods. She is responsible for the operational build-out,
financial controls, HR systems, and technology integration. Isabella
holds a BCom (Accounting) from UCT and a postgraduate diploma in Supply
Chain Management.
Thabo Ndlovu — Executive Chef & Creative Director (15% equity): An award-winning chef with formal training at Le
Cordon Bleu (Paris) and the UCT Hotel School, Thabo has worked under
internationally recognised chefs at The Test Kitchen, Cape Town, and Le
Gavroche, London. He was named one of Eat Out Magazine’s Top 10 Rising
Chefs in 2022. His culinary philosophy and creative menu programme are
the intellectual core of the Velvet Fig proposition.
Umoya Capital Partners — Institutional Investor (15% equity): Umoya Capital is a Johannesburg-based growth equity
fund with a focus on consumer, retail, and hospitality assets across
sub-Saharan Africa. In addition to capital, Umoya provides strategic
advisory support on future fundraising, multi-unit expansion financing,
and eventual exit structuring.

11.2 Corporate Governance Framework

  • Board of Directors: 4 members (Mokoena, Van der Merwe, Ndlovu, Umoya nominee)

  • Monthly Management Accounts reviewed by Board within 15 business days of month-end

  • Annual external audit by a SAICA-registered audit firm

  • Shareholders’ Agreement governing pre-emptive rights, tag-along/drag-along, and exit provisions

  • IP Assignment Agreements in place for all founder contributions to brand and menu

  • BEE compliance monitored annually; target Level 2 by Year 2
