2.1 Legal Structure & Registration

Cluck ‘n Go (Pty) Ltd will be incorporated as a private company under the Companies Act 71 of 2008 in the Republic of South Africa. The company will be registered with the Companies and Intellectual Properties Commission (CIPC) and will comply with all applicable regulatory requirements including registration with the South African Revenue Service (SARS) for income tax, value-added tax (VAT), employees’ tax (PAYE), and the Unemployment Insurance Fund (UIF).

The company will also obtain the necessary municipal trading licences, food handling certificates from the Department of Health, and comply with the Occupational Health and Safety Act (OHSA). A Certificate of Acceptability for food premises will be obtained prior to commencement of operations.

He brings over twelve years of experience in the food services and hospitality industry, having served in senior management roles at two prominent South African restaurant groups. His expertise in operations management, franchising systems, and strategic planning will be instrumental in establishing operational excellence from inception.

Melissa van der Merwe – Chief Operating Officer

Ms van der Merwe graduated with a Bachelor of Arts in Marketing Communications from the University of Johannesburg and holds a postgraduate diploma in Digital Marketing from the Red & Yellow Creative School of Business. With over ten years of experience in brand development across the food and beverage sector, she has successfully launched multiple consumer brands in the South African market. Her responsibilities will encompass brand strategy, customer experience design, digital marketing, and community engagement.

Jared Mokoena – Chief Financial Officer

Mr Mokoena is a qualified Chartered Accountant (SA) and a member of the South African Institute of Chartered Accountants (SAICA). He completed his articles at a Big 4 audit firm and subsequently spent eight years in corporate finance and management consulting, specialising in the retail and hospitality sectors. His financial acumen will ensure robust financial controls, cash flow management, supplier negotiations, and investor reporting.
