14.1 Company Formation & Registration

The Company will be registered with CIPC as a private company limited by shares under the Companies Act 71 of 2008. A shareholders’ agreement will be executed among the founders, addressing equity allocation, decision-making authority, dividend policy, drag-along and tag-along rights, and dispute resolution mechanisms.

14.2 Tax Registration & Compliance

The Company will register with SARS for income tax, value-added tax (VAT), employees’ tax (PAYE/SITE), the Unemployment Insurance Fund (UIF), and the skills development levy (SDL). Monthly and annual tax returns will be prepared and filed by the Company’s appointed tax practitioners in compliance with the Tax Administration Act.

14.3 Food Safety & Health Regulations

All food handling operations will comply with the Foodstuffs, Cosmetics and Disinfectants Act (Act 54 of 1972), the Regulations Governing General Hygiene Requirements for Food Premises (R638 of 2018), and the Health Act (Act 63 of 1977). A Certificate of Acceptability will be obtained from the local environmental health practitioner prior to commencement of operations, and annual renewal will be maintained.

14.4 Labour Law Compliance

All employment practices will comply with the Basic Conditions of Employment Act (Act 75 of 1997), the Labour Relations Act (Act 66 of 1995), the Employment Equity Act (Act 55 of 1998), and the Occupational Health and Safety Act (Act 85 of 1993). Written employment contracts will be issued to all employees, and the Company will register with the relevant bargaining council if applicable to the hospitality sector.

14.5 B-BBEE Compliance

The Company is committed to achieving a minimum Level 4 B-BBEE rating within its first two years of operation. The founding team’s demographic composition supports strong performance on the ownership and management control elements, while the Company’s commitment to local procurement, skills development, and enterprise and supplier development will contribute positively across all scorecard elements. A B-BBEE verification will be conducted annually by an accredited verification agency.

14.6 Intellectual Property Protection

The ‘Cluck ‘n Go’ brand name, logo, and proprietary spice blend recipe will be registered and protected through trademark registration with CIPC, trade secret protocols for the spice blend recipe (limited access, non-disclosure agreements), and domain name registration and social media handle reservation. Legal counsel will be engaged to advise on intellectual property protection and enforcement.
