Board & governance

    with investor-nominated and independent non-executive directors
    including an independent chair.

    Investment (approves capex allocation and route economics); Remuneration
    & Nominations; Social & Ethics (owns ESG and digital-inclusion
    mandate).
  • King IV application; delegation-of-authority matrix governing
    capex commitment thresholds — critical given capital intensity.
  • Monthly funder reporting: homes-passed and connected velocity,
    capex vs budget by route, penetration cohorts, covenant certificates and
    liquidity runway.
ASSUMPTION FLAG

Execution-team risk is elevated for an infrastructure build of this
scale. The plan assumes a full executive team with FNO-grade build,
regulatory and project-finance experience is assembled before financial
close — scarce talent that the incumbents actively retain. Meaningful
equity participation, investor-network sourcing and staged milestone
hiring mitigate but do not remove this dependency; a build of R17.9
billion is unforgiving of an inexperienced delivery team.
